Business Corporation Law

Our general business practice represents a variety of partnership, corporate and limited liability clients as well as sole proprietorships in all aspects of starting, operating and/or liquidating a business. We prepare certificates of formation, bylaws/regulations, corporate minutes and consents, partnership agreements, LLC operating agreements, joint venture and alliance agreements, as well as buy-sell, sales representative and voting agreements.

We handle virtually whatever the company's legal needs are. In addition because of the accumulated years of experience in the greater metropolitan area we add the dimension of helping the company grow through our business network. As our dear friend, the late Speaker of the House of Representatives Tip O'Neil once said, “There is a line to everyone”. You just have to find it.

Commercial Litigation

Most commercial litigation arises over money disputes and the issues are rarely simple. We have represented corporations, partnerships and other business entities in a wide variety of disputes arising out of their business relationships. Our representation has included prosecuting and defending commercial claims from breach of contract to fraud to the equitable construction of trusts to construction law claims in the Supreme Courts of the Bronx, Kings, Nassau, New York, Queens, Richmond, Rockland, Suffolk and Westchester counties as well as in the Eastern and Southern Districts of Federal Court and in the federal courts of New Jersey and Connecticut. In addition, our practice has included appellate argument at both the New York State Appellate Division and the New York State Court of Appeals.

Criminal Law

If you have been charged with a crime, your freedom – even your life may be at stake. And thus the most important piece of advice we can give you is to contact us immediately. The sooner we begin our investigation, the more effectively we can defend your rights.

Please also know that only an experienced attorney with years of experience in the public sector at either a District Attorney's office or the local United States Attorney's will be assigned to your case. When the stakes are high there is simply no substitute for the competence that only experience can generate.

Estate Law

Most people would rather not think about what will happen when they die. However, the ones that do think about it leave much more asset value and far fewer complications for their heirs. We can help you navigate the complex and multi-faceted labyrinth of estate law, including estate planning and administration.

At the end of your life, your assets will be distributed and taxed. Where they are distributed and how much they are taxed depends on having a well-thought out estate plan. We can help you put a plan in place that will protect your financial assets by translating your wishes into legal directives, with minimal tax impact. In addition we handle the administration of a decedent's estate.

When a family is faced with the death of a loved one, the last thing they want is to deal with legal details. Our involvement in the administration of an estate involves guiding families through the estate administration process and relieving them of the worry and confusion it can cause. This may include handling estate and gift tax matters, obtaining asset valuations, managing probate court filings and proceedings and other related activities.

Family Law

Personal Injury
